1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you") and Clyra Technologies Ltd ("Clyra", "we", "us", or "our"), governing your access to and use of the Clyra website, platform, and related services (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

2. Supplemental Terms

Supplemental terms and conditions or documents may be posted on the Site from time to time and are hereby expressly incorporated by reference. Your continued use of the Site constitutes acceptance of such supplemental terms.

3. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the "Last Updated" date at the top of this page. You waive any right to receive specific notice of each such change. Please check these Terms regularly to ensure you understand which Terms apply. Your continued use of the Site after changes are posted constitutes acceptance of those changes.

4. Age Restrictions

The Site is intended for users who are at least 13 years of age. All users who are minors in their jurisdiction (generally under 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site. If you are a minor, your parent or guardian must read and agree to these Terms prior to your use of the Site.

5. Jurisdictional Limitations

The Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Users accessing the Site from other locations do so on their own initiative and are responsible for compliance with local laws.

6. Intellectual Property Rights

Ownership of Site, Content, and Marks

Unless otherwise stated, the entire Site—including the AI co-pilot (text and voice), learning spaces, and all AI-generated materials (summaries, flashcards, quizzes, practice exams, timelines, mind-maps, etc.)—plus all underlying code, pipelines, and documentation (collectively, "Content"), as well as our trademarks, service marks, and logos (the "Marks"), are owned or controlled by us or are licensed to us.

Proprietary Systems Covered

• AI-powered video-lecture processing (chaptering, summarisation, flashcard generation)
• Document analysis and chat functionality
• Real-time, space-wide AI interaction
• Learning-material organisation and management
• Source-attribution and reference resolution
• All other interactive study tools and features we provide

Legal Protection

Content and Marks are protected by U.S. and international copyright, trademark, and unfair-competition laws.
They are provided "AS IS" for your information and personal learning use only.

Limited Licence Granted to You

As long as you remain eligible and within your plan limits (Free or Pro), you may:

• Access and use Site features.
• Upload and process PDF documents.
• Add and analyse YouTube videos.
• Record and process lecture audio/video.
• Generate and use AI-powered summaries, chapters, flashcards, quizzes, practice exams, timelines, mind-maps, etc.
• Participate in space-wide discussions.
• View source-attributed citations and references.
• Store and organise materials in your learning spaces.
• Interact with the AI co-pilot within daily/monthly usage limits.
• Download or print generated materials for personal, non-commercial study.
• Create and manage learning spaces as allowed by your subscription.

User-uploaded Content

You retain ownership of PDFs, video links, recordings, and other materials you upload.
You grant us a licence to process and analyse that content to provide our services, subject to copyright law and fair-use principles.

Prohibited Actions (Unless We Give Written Consent)

• Copying, reproducing, aggregating, republishing, uploading, posting, publicly displaying, encoding, translating, transmitting, distributing, selling, licensing, or exploiting any portion of the Site, Content, or Marks for commercial purposes.

Reservation of Rights & Enforcement

All rights not expressly granted are reserved.
Unauthorised use, reproduction, or distribution of the Content (including AI-generated materials) may lead to account termination and legal action.

9. Additional Prohibited Actions

• Accessing the Site through automated or non-human means (bot, script, etc.)
• Using the Site for any illegal or unauthorized purpose
• Reverse engineering, data mining, or scraping
• Transmitting viruses, malware, or harmful code
• Any action that could harm, disable, overburden, or impair the Site

10. User Representations and Warranties

• All registration information you submit will be true, accurate, current, and complete
• You will maintain the accuracy of such information
• You have the legal capacity and agree to comply with these Terms
• You are not under the age of 13
• If a minor, you have received parental permission
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable law or regulation

11. Registration and Account Management

You may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

12. Fees, Payment, and Refund Policy

Some features of the Site may require payment. All fees are due as described at the time of purchase and are processed securely via our payment partners. Payments are non-refundable except as required by law or outlined in our refund policy. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.

13. Disclaimers

The Site is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, to the fullest extent permitted by law. We do not guarantee the accuracy, completeness, or reliability of the Site or its content.

14. Limitations of Liability

To the maximum extent permitted by law, Clyra and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us.

15. Indemnification

You agree to defend, indemnify, and hold harmless Clyra, its affiliates, and their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.

16. Dispute Resolution and Arbitration

In the event of any dispute, we encourage you to contact us first at support@heyclyra.com to seek an amicable resolution. If unresolved, disputes will be resolved in accordance with DIFC law and, where applicable, by binding arbitration in Dubai, UAE.

17. Governing Law

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), UAE. Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the DIFC courts.

18. Electronic Communications and Signatures

By using the Site, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, and records.

19. Miscellaneous

• These Terms and any policies or operating rules posted by us constitute the entire agreement between you and us.
• Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
• These Terms operate to the fullest extent permissible by law.
• We may assign any or all of our rights and obligations to others at any time.
• If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions.
• No joint venture, partnership, employment, or agency relationship is created as a result of these Terms or use of the Site.
• You waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties to execute these Terms.
